The only downside I can see is the lack of supporting Android Market. App from Android Market cannot be installed on the virtualized Android.

BlueStacks technology is very impressive and flexible as it support many different combination of operating systems. Currently, it support Android on Windows, furthermore, in the near future, it will support Android on Windows 8, Android on Chrome OS and surprisingly, Windows on Android !!.
